
Regulatory Clearance Complete
Banco Santander has won approval from the Board of Governors of the Federal Reserve System to acquire Webster Financial Corporation, the parent company of Webster Bank, N.A. The clearance represents the final major regulatory approval needed for the transaction, which is now set to close on 20 August 2026.
The Fed's decision follows earlier green lights from two other regulators. The Office of the Comptroller of the Currency gave its consent on 12 June 2026, while the European Central Bank authorised the transaction on 21 July 2026. The staged approvals reflect the cross-border nature of a deal that combines a globally systemic European lender with a mid-sized US commercial bank operating under a national charter.
Transaction Details
Webster Bank, based in Stamford, Connecticut, held more than $80 billion in total assets when the acquisition was first announced. The bank runs three main business lines: Commercial Banking, Healthcare Financial Services, and Consumer Banking. Its geographic footprint spans the Northeast, covering the New York metropolitan area and extending through Rhode Island and Massachusetts. Once the deal closes, most of Webster's operations will be integrated into Santander Bank, N.A., Santander's current US banking arm.
Ana Botín, Santander's executive chair, said the merger would give the group greater competitive strength in the US market. "This combination will strengthen our position in one of the world's most attractive banking markets and put us firmly on track to build one of the highest-performing banks among our U.S. peers," she said.
Financial Targets
Santander has outlined specific performance goals for the enlarged US business. By 2028, the group expects the combined entity to deliver a return on tangible equity of around 18%. The deal is projected to generate approximately 7 to 8 per cent earnings per share accretion and an estimated 15 per cent return on invested capital. These figures are alternative performance measures as defined by ESMA and have not been audited.
Strategic Rationale
The acquisition marks a significant step in Santander's long-term effort to establish a credible US retail and commercial banking presence, a goal that has proved challenging for several large European banks over the past two decades. Santander US has historically maintained a smaller position relative to the group's European operations. Absorbing Webster's Northeast deposit base and its healthcare finance expertise would provide a more defensible market position and a differentiated business line.
Webster's Healthcare Financial Services division stands out as a key asset. Healthcare-focused banking, including health savings accounts and specialised lending to healthcare providers, represents a sticky, fee-generating segment that large US commercial banks have actively competed for. Successfully retaining that client base during integration will be an important near-term test for the combined organisation.
Regulatory Scrutiny
Cross-border bank mergers and acquisitions in the US market have attracted heightened regulatory scrutiny from the Fed and the OCC in recent years. Regulators pay close attention to integration risk, compliance frameworks, and Community Reinvestment Act obligations. The sequential approvals from Washington and Frankfurt suggest Santander has navigated that scrutiny without material conditions being imposed, though the full terms of the regulatory clearances were not disclosed in the announcement.
Customers of both banks have been informed that accounts and services will continue without interruption until any changes are communicated ahead of implementation.
